Overview

A Board of Trustees has a duty to manage the business and affairs of Sigma Lambda Gamma Education Foundation (SLGEF) in accordance with articles of incorporation, bylaws and other documents and the Foundation policies in meeting the goals and objectives of the organization. 

Trustees are stewards who act on behalf of the Foundation's constituents, including funders, members, and donors. The Board of Trustees has the principal responsibility for the fulfillment of the Foundation's mission and the legal accountability for its operations. As a group, they are in charge of establishing a clear mission, forming the strategic plan to accomplish the mission, overseeing and evaluating the plan's success, ensuring financial solvency of the organization, interpreting and representing the foundation, and instituting a fair system of policies and procedures for trustees as applicable to foundation operations. 

We are a working board.

A working board is a group of directors actively participating in the organization’s daily activities. It is a governing board with additional responsibilities. This may look like,

  • Create a Plan

    • Strategic responsibilities to build a plan, which outlines measurable goals and objectives.

  • Participate in Day-to-Day Functions

    • Operational roles and responsibilities, it’s a governing board with staff responsibilities. So after brainstorming ideas and creating a plan for the organization, members of a working board implement their own strategies and directives.

  • Manage an Organization’s Resources Responsibly

    • Accountable to specific stakeholders, creates and implements its own directives.

  • Ensure Compliance and Ethical Integrity

    • A working board has a fiduciary duty to ensure the firm complies with all relevant legal obligations.

Working on Committees and Campaigns

  • The Trustee role requires being on committees and campaigns and/or leading them.

  • Take ownership of your work items and drive them towards completion.

  • Collaborate with other Trustees or committee members proactively as needed.

  • If you oversee a committee, take ownership of leading all facets of the team

    • Size of committee

    • Meeting frequency

    • Goals, assignment of work and deadlines

    • Marketing plan

    • Volunteer management

    • As well as accountability for the delivery of committee results

Length of Term 

All Trustee appointments to the Board shall be for three year terms and undergraduate representative appointment for one year term, beginning in January of the calendar year after which the Trustee was selected. Terms may be extended until a successor has been appointed. Trustees are eligible to serve multiple terms and may serve up to three terms in succession. Representatives are eligible to serve multiple terms and may serve up to two terms in succession. Terms shall be staggered and new Trustees appointed so that no more than half of the Board will be in their first term in any given year.

Expectations

  • Understand you are always representing the SLG Education Foundation.

  • Actively attend and engage in all meetings.

    • Meetings are monthly via teleconference and typically last 90 minutes.

    • Board members are required to attend a minimum of 75% of monthly teleconferences per year, in accordance with our general expectations.

    • Attendance at special events will be evaluated as they are determined.

  • Give the courtesy of a 3 business day or shorter turnaround time when responding to Foundation related emails, etc.

General Responsibilities

  • Fiduciary duty:  This is a duty to act honestly, in good faith, and with a view to the best interests of the Foundation. Inherent in the fiduciary duty of a trustee is the responsibility to understand the requirements of the duty to disclose under the conflict of interest policies of the organization and common law and to understand and adhere to the duty of confidentiality. 

  • Duty of care:  A Trustee is required to exercise the care, diligence, and skill that a reasonably prudent person would exercise in comparable circumstances. This is the Trustee’s duty of care. This requires Trustees to take the time necessary to make informed business judgments.

  • Due diligence:  This is the review and investigation/research that the Trustees conduct before coming to a decision on a particular matter or issue. This includes significant reliance on good information, external advisors, on financial statements and on SLG Headquarter staff.
